Advertising Agreement

This Advertising Agreement ("Agreement") is entered into as of the date of acceptance by The American Constitution Society for Law and Policy ("Advertiser") and governs the terms under which Advertiser will advertise on the website(s) owned or operated by the Publisher.

2. Scope of Services

The Publisher agrees to provide advertising services to promote the Advertiser's content, products, or services through its website(s). The specific details of the advertising campaign, including ad placements, formats, duration, and pricing, will be outlined in an accompanying Insertion Order or Campaign Schedule.

3. Ad Content and Compliance

3.1 Ad Content:
The Advertiser shall provide all ad creatives, including text, images, videos, and links, to the Publisher. All content must comply with Microsoft Ads policies and guidelines, as well as applicable laws and regulations.

3.2 Prohibited Content:
The Advertiser agrees not to submit any content that:

  • Violates intellectual property rights;
  • Contains false, misleading, or deceptive claims;
  • Promotes illegal activities, hate speech, or discrimination;
  • Includes malware, viruses, or other harmful components.

3.3 Approval Process:
The Publisher reserves the right to review and approve all ad content prior to publication. If any content is deemed non-compliant, the Publisher will notify the Advertiser and request modifications.

4. Payment Terms

4.1 Fees:
The Advertiser agrees to pay the Publisher the fees specified in the Insertion Order or Campaign Schedule. Fees may be based on cost-per-click (CPC), cost-per-impression (CPM), or other agreed-upon pricing models.

4.2 Invoicing and Payment:

  • Invoices will be issued by the Publisher upon completion of the campaign or as otherwise agreed.
  • Payment is due within 30 days of the invoice date unless otherwise specified.
  • Late payments may incur a penalty of 1.5% per month or the maximum allowed by law.

4.3 Taxes:
All fees are exclusive of taxes. The Advertiser is responsible for any applicable sales, use, or other taxes unless exempted by law.

5. Campaign Management

5.1 Tracking and Reporting:
The Publisher will provide regular reports detailing ad performance, including impressions, clicks, conversions, and other relevant metrics. Reports will be delivered via email or through an online dashboard.

5.2 Modifications:
The Advertiser may request changes to the campaign during its term, subject to the Publisher’s approval and availability of resources. Additional costs may apply.

5.3 Cancellation:
Either party may terminate this Agreement with written notice if the other party breaches any material term. The Advertiser may also pause or cancel the campaign at any time, but fees for services already rendered are non-refundable.

6. Representations and Warranties

6.1 Advertiser Warranties:
The Advertiser represents and warrants that:

  • It has the legal right to advertise the promoted content, products, or services;
  • All provided materials are accurate and do not infringe on third-party rights;
  • Its activities comply with all applicable laws and regulations.

6.2 Publisher Warranties:
The Publisher represents and warrants that it will use commercially reasonable efforts to deliver the agreed-upon advertising services.

7. Limitation of Liability

7.1 Disclaimer:
The Publisher does not guarantee specific results from the advertising campaign, including traffic, conversions, or revenue.

7.2 Liability Cap:
In no event shall either party be liable for indirect, incidental, consequential, or punitive damages arising out of this Agreement. The Publisher’s total liability is limited to the total fees paid by the Advertiser under this Agreement.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the term of this Agreement and for a period of two years thereafter.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the District of Columbia, USA, without regard to its conflict of laws principles.

10. Entire Agreement

This Agreement, along with any accompanying Insertion Orders or Campaign Schedules, constitutes the entire agreement between the parties and supersedes all prior agreements or understandings, whether written or oral.

11. Amendments

Any amendments to this Agreement must be made in writing and signed by both parties.

12. Acceptance

By submitting this Agreement, the Advertiser acknowledges that they have read, understood, and agreed to the terms herein.
